Educational Grant Agreement

This Educational Grant Agreement ("Agreement") constitutes an Agreement between Takeda Pharmaceuticals International, Inc., U.S. Region,  its affiliates and subsidiaries (collectively, "Takeda") and each person or entity that uses this website ("Website") and/or submits a grant application (each, an "Applicant").

By using this Website, each Applicant is acknowledging his/her consent to the terms and conditions contained in this Agreement. Do not use this Website if you do not agree to the terms and conditions contained in this Agreement. Takeda reserves the right to modify this Agreement from time to time, and it should be read in conjunction with Takeda's Website Privacy Policy, and Terms and Conditions of Use, both of which are made available to you on this Website.

Failure to comply with this Agreement may serve to disqualify an Applicant's grant application, and Takeda reserves the right to pursue any right or remedy at law or in equity including, without limitation, injunctive relief.

Grant Application Review and Timeline

Takeda will make every attempt to review and respond to each Applicant's grant application within 60 calendar days. However, due to the varying amount of time needed to review grant applications, Takeda makes no commitment regarding the amount of time needed to review a grant application. Should Takeda receive a grant application within 60 calendar days of a proposed activity, Takeda reserves the right to immediately deny the grant application due to time constraints. Takeda will not approve a grant application regarding an activity that has already occured, and Takeda otherwise reserves the right to deny a grant application for any reason. Upon approval or denial of a grant application by Takeda, each Applicant will receive an email notification regarding the grant application decision. The email notification is provided as a courtesy to the Applicant, and in no way constitutes an agreement by Takeda to fund the grant request set forth in the grant application.

Letter of Agreement

Upon approval of a grant application, Takeda will require each Applicant to sign Takeda's letter of agreement ("Letter of Agreement") in advance of receiving funding of an approved grant from Takeda. The Letter of Agreement must be signed prior to the activity start date specified on the grant application. Takeda reserves the right to withdraw approval of a grant application at anytime prior to receiving a signed Letter of Agreement from an Applicant. Upon receipt by Takeda of a signed Letter of Agreement from an Applicant, Takeda will attempt to provide funding of the grant within 30 calendar days.

Grant Award Amount

Takeda will consider awarding a grant for valid expenses related to an educational activity. Takeda reserves the right to determine, in its sole discretion, the amount of any grant awarded to an Applicant.

Termination of Applicant Web site Use Privileges

Takeda reserves the right to terminate an Applicant's user account at any time for any reason without notice to Applicant. Should an Applicant wish to submit a grant application after termination of his/her user account, Applicant may attempt to re-register for access and use of this Website at any time.

Communication with Applicants; Applicant Consent

Takeda relies heavily on the use of email messages to communicate with Applicants regarding the use of this Website and the grant application review process. In addition, Takeda may rely on other forms of communication with Applicants for purposes of administering this Website and the grant application review process. Each Applicant hereby acknowledges and consents to the use of Applicant personal information (e.g., email address, fax number, name and address) as requested by Takeda for purposes of communicating with Applicants. Personal information collected at this Website will be used by Takeda in accordance with Takeda's Website Privacy Policy.

PLEASE NOTE: When you receive an email message from this Website, the email message may allow you to opt-out of receiving future email messages from this Website. If you chose to opt-out of receiving future email messages from this Website, Takeda will no longer be able to contact you by email and your grant application(s) may be denied.

Information Accuracy and Responsibility

Each Applicant agrees that all information provided by Applicant to Takeda in connection with the use of this Website is true and accurate. Each Applicant agrees not to impersonate any other person or entity including, but not limited to, an ACCME or other accredited organization or thought leader.

Username and Password

Each Applicant is responsible for protecting and maintaining the confidentiality of the Applicant's username and password for this Website, and agrees to provide immediate notice to Takeda in the event an Applicant discovers any unauthorized use of such username and password. If you have any questions or concerns regarding the use of your username or password please contact Takeda at the email address or phone number listed above in the Section of this Agreement called "Takeda Contact Information".

Use of Funds Received from Takeda; Reconciliation

Each Applicant agrees to use any funds received from Takeda pursuant to a Letter of Agreement only for the purpose(s) set forth in Applicant's approved grant application. Each Applicant further agrees to provide an accurate reconciliation regarding the use of such funds upon request by Takeda. If, during the course of any reconciliation it becomes clear that the funds requested were not depleted by Applicant appropriately, as determined by Takeda, Applicant agrees to immediately return to Takeda any unused funds, or funds used inappropriately, upon its request. Failure to reconcile a grant request may result in denial of future grant requests.

Confidentiality and Ownership

The information contained on this Website is both confidential and proprietary to Takeda. At all times, this Web site and any information relating to the grant application process shall be deemed to be the property of Takeda. Applicants must not duplicate, distribute, disseminate or otherwise make available any information contained on this Web site to a third-party without the prior written consent of Takeda. Notwithstanding the foregoing, Applicants may make Takeda confidential information available to those employees of Applicant who have a need to know such information in order to participate in the grant application process provided they are informed of, and subject to, the confidentiality obligations contained herein.

Applicants shall not use, include or reference any of the names, logos or marks of Takeda contained on this Website in any advertising, press releases, publicity or other communications without the prior written consent of Takeda.

Takeda shall not be obligated to return any information or materials provided by Applicants on this Website. Information provided by an Applicant on this Website will be kept confidential by Takeda and any business partner assisting Takeda in the operation of this Website.

Neither party shall be obligated to maintain the confidentiality of any materials and information that:

(i) was in the possession of the receiving party as evidenced by written records predating disclosure via this Website or otherwise;
(ii) was or becomes generally available to the public other than through the wrongful act or omission of the receiving party or any of its employees or agents;
(iii) was disclosed to the receiving party by a third party who had the legal right to make such disclosure, was not obligated by confidentiality and nondisclosure obligations and did not bind the receiving party to such obligations; or
(iv) was required to be disclosed by the receiving party to comply with applicable laws or government regulations.
